EBI Seminar on: “Uniform prospectus liability rules in Europe: A concrete blueprint”

The International Working Group on Prospectus Liability (led by Danny Busch and Matthias Lehmann) consists of practitioners and academics from different EU Member States and beyond. On the basis of national reports, it has recently drafted a blueprint for uniform European prospectus liability rules.
The idea of uniform European prospectus liability rules has also caught the attention of the European legislators in the context of the Capital Markets Union (CMU) project. The amended version of the Prospectus Regulation adopted on 8 October 2024 tasks the Commission to report to the European Parliament and the Council by 31 December 2025 on whether prospectus liability rules should be harmonised in Europe and, if so, what those rules should look like. On 28 October this year, ESMA published a Call for evidence on potential further steps towards harmonising rules on civil liability pertaining to securities prospectuses under the Prospectus Regulation.
At the seminar, the blueprint will be presented and discussed.
